Vinci Partners has just announced the acquisition of MAV Capital — a small transaction, but one that increases the manager’s presence in agribusiness.

MAV Capital has R$550 million in resources, compared to Vinci Partners’ US$51 billion (R$265 billion at today’s exchange rate).

Vinci said that MAV is focused on private credit funds and led by a team with extensive experience in the sector. The founder of MAV is André Ito, who before creating the management company in 2021 worked at investment banking of XP and BTG, and at banks Pan, Pine and BBM.

Aguassanta, Rubens Ometto’s family office, had 30% of the management company, which was also sold to Vinci.

With the transaction, Vinci wants to increase its penetration in a segment “substantially underserved by the investment industry.”

“Access to credit is a significant challenge for producers, leading them to seek alternatives in the capital market and private credit, which translates into a relevant market opportunity for Vinci,” said the manager.

Vinci did not disclose the value of the acquisition, but said that the transaction will be paid in cashwith an additional amount paid until 2028 depending on the achievement of revenue targets.

The manager also said that the transaction should not have a significant impact on its short-term results.

Vinci already had around R$375 million in agriculture, through VICA11, a listed Fiagro.

This is Vinci’s fourth transaction since its IPO in January 2021. First, the manager acquired SPS Capital, in mid-2022, to create an area of special situations. It then raised US$100 million in convertible debt with Ares Management.

More recently, it merged with Compass, a Chilean management company with US$14 billion in AUM and global investments.

Seneca Evercore advised Vinci, who worked with Lefosse Advogados.

MAV did not have a financial advisor. The legal advisor was Themudo Lessa Advogados.
