Corinthians and VaideBet intermediary did not carry out any activity and was not regularized for it

Rede Social Media Design LTDA, a company named in contract as intermediary of the agreement between Corinthians and VaideBetwas not registered to carry out that economic activity when the club agreed to formalize and conclude the deal.

This means that Rede Social Media Design LTDA did not even have the activity of business intermediation as a service offering to its customers at the time of the agreement between Corinthians and VaideBet.

A Sports Gazette had access to the company’s incorporation certificate from the Commercial Board of the State of São Paulo. The document highlights the absence of the appropriate Cnae (National Classification of Economic Activities) on January 4th of this year, the date of signing the contract that involved Corinthians, VaideBet and Rede Social Media Design LTDA.

Cnae is a code controlled by the Government and used to identify the economic activities carried out by a company. It determines issues and values ​​regarding taxation, taxes and revenue range, for example. An activity carried out by any company without the informed Cnae being compatible, makes the company irregular in the eyes of the tax authorities, prevents the issuance of invoices, can generate undue charges, fines and, in many cases, opens the possibility of investigation into the crime of tax evasion. This practice is usually alerted by “red flag” compliance.

On January 10th, when Corinthians had already announced the sponsorship agreement, the company mentioned as an intermediary began the process of changing the social contract. The request was filed with the Commercial Board on the 16th of the same month and finalized two days later, at the session on the 18th.

From then on, Rede Social Media Design LTDA started to have the Cnae consistent with this activity, with the code of “intermediation and agency activities for services and businesses in general, except real estate. 74.90-1/04”. However, the first invoice issued to pay the club, in the amount of R$1.4 million, is dated January 10, when the company was not yet regularized.

Previously, Rede Social Media Design LTDA was regulated to carry out marketing activities, to be an agency, to produce content, not to broker contracts, nor to receive revenue for it.

The report found that the company had never carried out any type of business intermediation between parties until it was included in this agreement between Corinthians and VaideBet. Therefore, the company never bothered to obtain the appropriate Cnae to perform the service.

During the press conference that took place shortly after the announcement of the agreement between the club and the betting company, Corinthians’ marketing superintendent, Sérgio Moura, sitting next to president Augusto Melo, cited all those who participated in the analysis of the contract.

“All the work that was done for this contract included the involvement of the administrative area, the legal area, the marketing area, this means that the four pillars were involved in this contract. It was not a contract that ‘ah, marketing decides’ No. I want to pay tribute here to Marcelo Mariano, administrative director, who worked tirelessly to analyze clause by clause, Dr Yun (Yun Ki Lee, legal director), Dr. Vinicius (Vinícius Cascone, general secretary), Dr. Perino ( Fernando do Amaral Perino, deputy legal director) analyzed the contract, sought all information pertinent to this contract”, commented Sérgio Moura at the time.

A Sports Gazette sought out Corinthians and Alex Fernando André, also known as Alex Cassundé, owner of the company Rede Social Media Design LTDA. Both preferred not to speak out.

In a previous contact, Corinthians admitted to the report that Alex was included in Augusto Melo’s campaign team during the club’s electoral period, as recommended by Sérgio Moura.

Member of the current Justice committee of the Corinthians Deliberative Council, former legal director and responsible for leading the implementation of compliance at the club, Herói Vicente, may participate in a technical trial if the Commission has to comment on the case.

“What I can say is that, during my management, I always recommended to the CCO (chief compliance officer) that the analysis of all contracts submitted were in compliance with the necessary corporate practices, from which the compatibility of the National Classification (Cnae) was evidently derived. of the Economic Activities of the companies with which Corinthians negotiated”, explained Herói when asked by the report for a statement.

As already revealed by Sports Gazette, Corinthians’ contract with the sponsor was never sent for analysis of the club’s compliance, which will now have to pay R$25.2 million to Rede Social Media Design LTDA. The value represents 7% of the net amount of the agreement with VaideBet.

The document excludes any relationship or payment obligation from VaideBet to the intermediary. In it, Corinthians assumes the bond and responsibility for payments of R$700,000 per month until the end of 2026.

Rede Social Media Design LTDA is registered as a small company, with share capital of R$ 10 thousand, with an opening date of January 27, 2021. The company’s headquarters is a house, which is located in Alto de Pinheiros, in São Paulo.
